END-USER LICENSE AGREEMENT (EULA)

1. Grant of License

Subject to the terms of this Agreement and your payment of all applicable fees, Nocturnal Fire Entertainment, LLC ("Licensor") grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Software on up to two (2) computers that you own or control, for your own music production use.

Each license key is issued to a **single user**. You may not share your license key with any other person.
You may use the Software in commercial music productions, including released recordings — you keep 100% of the rights to your own music. This Agreement grants no rights in the Software itself beyond the license described here.

2. Trial Version

The Software may be used without a license key as a free 7-day trial with full functionality. When the trial period ends, the Software requires a valid license key to continue functioning. Trial use is subject to all other terms of this Agreement.

3. Restrictions

You agree NOT to:

Share, resell, rent, lease, lend, or redistribute the Software or your license key.
Copy the Software except for one backup copy for your own use.
Reverse-engineer, decompile, or disassemble the Software, except where prohibited by law from restricting you from doing so.
Remove or alter any copyright, trademark, or branding notices in the Software.
Use the Software in any way that violates applicable law.

4. Ownership

The Software is licensed, not sold. Nocturnal Fire Entertainment, LLC retains all right, title, and interest in and to the Software, including all intellectual property rights. No rights are granted other than those expressly stated in Section 1.

5. Updates

Licensor may provide updates or upgrades to the Software. This Agreement applies to all updates unless they are accompanied by a separate license agreement.

6. Refund Policy

7. Disclaimer of Warranty

THE SOFTWARE IS PROVIDED "AS IS," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, UNINTERRUPTED, OR COMPATIBLE WITH EVERY DAW, OPERATING SYSTEM, OR HARDWARE CONFIGURATION.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL NOCTURNAL FIRE ENTERTAINMENT, LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, DATA, OR USE) ARISING OUT OF OR RELATED TO THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. LICENSOR'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE.

9. Termination

This Agreement is effective until terminated. It terminates automatically if you breach any term. Upon termination you must uninstall and delete all copies of the Software. Sections 3, 4, 7, 8, and 10 survive termination.

10. Governing Law

This Agreement shall be governed by the laws of [STATE — e.g. the State of ___________, USA], without regard to conflict-of-law principles. Any disputes shall be resolved in the state or federal courts located in [STATE/COUNTY].

11. Entire Agreement

This Agreement constitutes the entire agreement between you and Nocturnal Fire Entertainment, LLC regarding the Software and supersedes all prior understandings. If any provision is found unenforceable, the remaining provisions continue in full effect.

By installing, copying, or using the Software, you acknowledge that you have read this Agreement, understand it, and agree to be bound by its terms.
